By accessing or using the Controllr platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
Description of Service
Controllr provides a SaaS platform for financial transaction tracking, data consolidation, and subcontractor management. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes.
User Accounts and Security
Registration: You must provide accurate and complete information when creating an account.
Security: You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities that occur under your account.
Notification: You must notify us immediately of any unauthorized use of your account at support@controllr.app.
Data Ownership and License
This section explains who owns what data.
Your Data ("Customer Data")
You retain all ownership rights to the raw data, text, files, and subcontractor information you upload to Controllr.
License to Controllr
By using the Service, you grant us a worldwide, royalty-free license to host, copy, transmit, and display your Customer Data as necessary to provide the Service, strictly in accordance with our Privacy Policy.
Aggregated and Derived Data (Benchmarking & AI)
You agree that Controllr may use your Customer Data to create Aggregated/Derived Data.
Definition: "Aggregated Data" means data that has been anonymized, combined with other users' data, or processed by AI models such that it does not identify you, your specific transactions, or your specific subcontractors.
Ownership: Controllr owns all right, title, and interest in and to the Aggregated Data (e.g., industry benchmark reports, AI model weights, and performance statistics).
Usage: We may use this data for any business purpose, including training internal AI models, improving the Service, and publishing industry benchmark reports.
User Responsibilities & Restrictions
You agree not to:
Use the Service for any illegal purpose or in violation of any local, state, or federal law.
Reverse engineer, decompile, or attempt to extract the source code or proprietary AI models of the Service.
Sell, resell, or lease the Service to third parties.
Upload data regarding third parties (e.g., subcontractors) unless you have obtained all necessary consents to do so.
Financial Disclaimer
Controllr is a software provider, not a financial advisor, accounting firm, or tax professional.
The Service provides tools to organize and analyze data, but the accuracy of the outputs depends on the accuracy of the data you input.
Our AI-generated insights and benchmarks are for informational purposes only and should not be relied upon as the sole basis for financial decisions.
You are responsible for verifying all financial data before using it for tax, payroll, or compliance purposes.
Fees and Payment
Access to certain features of the Service may require a subscription.
Billing: You agree to pay all fees in accordance with the pricing plan selected.
Changes: We reserve the right to change our pricing upon notice to you (e.g., via email or within the app), effective at the start of your next billing cycle.
Limitation of Liability
To the fullest extent permitted by law:
"As Is" Basis: The Service is provided "as is" without warranties of any kind, either express or implied, including merchantability or fitness for a particular purpose.
Cap on Liability: Controllr’s total liability to you for any claims arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
No Consequential Damages: We are not liable for any lost profits, loss of data, or business interruption.
Indemnification
You agree to indemnify and hold Controllr harmless from any claims, damages, or expenses (including legal fees) arising from:
Your violation of these Terms.
Your violation of any third-party right, including privacy rights of your subcontractors.
The accuracy or content of the data you upload.
Termination
By You: You may stop using the Service at any time.
By Us: We may suspend or terminate your access immediately if you breach these Terms.
Effect: Upon termination, your right to use the Service ceases. We may delete your raw Customer Data after a standard retention period, but we may retain Aggregated Data (Benchmarks) indefinitely.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Deleware.
